Terms of Service
The commercial terms that apply when you buy goods or services from us. Written to be read, not to hide things.
1. Who we are
This website and the services described on it are operated by Parikshit Technology Consultant LLP, a limited liability partnership registered in India, trading as Parikshit Technology, GSTIN 27AAYFP2006P1ZK, with its registered office at Kanakia Park, Mumbai, Maharashtra.
In this document, "we", "us" and "our" mean Parikshit Technology Consultant LLP. "You" and "your" mean the person or organisation purchasing goods or services from us.
By requesting a quotation, placing an order or using our services, you agree to these terms. Where we have signed a separate written agreement with you, that agreement takes precedence over anything here that conflicts with it.
2. Scope of services
We provide, in various combinations:
- Custom software development and integration
- Assembly and supply of computer hardware, servers and peripherals
- IT consulting, networking and infrastructure work
- Domain registration, web hosting and related web services, resold from third-party providers
- Annual maintenance contracts and ongoing technical support
What we are contracted to deliver on any given engagement is defined by the written quotation, purchase order or statement of work you accept — not by the general descriptions on this website.
3. Quotations and orders
- Quotations are valid for the period stated on them, or 15 days from issue if no period is stated.
- Hardware pricing is subject to component availability and market rates. If prices move materially between quotation and order confirmation, we will tell you before proceeding rather than substituting parts.
- An order is confirmed when you accept the quotation in writing (including by email or through our client portal) and, where applicable, the agreed advance is received.
- We may decline an order. If we do, any advance received is refunded in full.
4. Pricing, GST and payment
- All prices are in Indian Rupees. Unless a quotation states otherwise, prices are exclusive of GST, which is charged at the applicable rate.
- We issue GST-compliant tax invoices. Provide your correct GSTIN and registered address before invoicing — we cannot amend a GSTIN on an invoice already filed.
- Payment terms are as stated on the invoice. Where no term is stated, payment is due within 15 days of the invoice date.
- Interest may be charged on overdue amounts at the rate stated on the invoice, or as permitted under applicable law.
- Goods remain our property until paid for in full. Risk passes to you on delivery.
- We may suspend services, including hosting and support, on accounts materially overdue, after giving you written notice and a reasonable opportunity to pay.
5. Hardware supply and warranty
- Hardware we supply carries the manufacturer's warranty. The term and conditions are those of the manufacturer, and are stated on your invoice.
- We facilitate warranty claims on your behalf but do not extend, replace or underwrite the manufacturer's warranty unless a separate written agreement says so.
- Assembled systems are tested before delivery. Inspect goods on delivery and report any transit damage or shortage within 48 hours, in writing, with photographs.
- Warranty does not cover physical damage, liquid damage, power surges, unauthorised repair, or use outside the manufacturer's stated conditions.
- Data on any device is your responsibility. Back up before handing equipment to us for service. We are not liable for data loss during repair.
6. Software development and intellectual property
- On full payment of all invoices for a development engagement, ownership of the custom source code written specifically for you passes to you, along with associated documentation.
- We retain ownership of pre-existing tools, libraries, frameworks and general know-how used in delivery, and grant you a perpetual, non-exclusive licence to use them as embedded in the delivered work.
- Third-party and open-source components remain subject to their own licences. We will tell you what has been used.
- Until full payment, any licence to use delivered software is provisional.
- Unless you object in writing, we may describe the engagement in general terms as a reference, without disclosing confidential details.
7. Domains, hosting and third-party services
- Domain registration, hosting, SSL certificates and similar services are supplied by third-party providers. Your use of them is also subject to those providers' terms and to ICANN policy where applicable.
- You are responsible for the accuracy of registrant details. Inaccurate WHOIS data can result in suspension of a domain by the registry, which is outside our control.
- Renewals are your responsibility. We send reminders as a courtesy, but a missed renewal, resulting expiry, or third-party registration of a lapsed domain is not our liability.
- You must not use hosting we provide for unlawful content, spam, malware distribution, or anything infringing third-party rights. We may suspend services on notice of such use.
- Uptime and performance of third-party infrastructure are governed by that provider's service levels, not ours.
8. Support and annual maintenance contracts
- Support coverage, response targets and inclusions are defined in your AMC document and our Service Level Agreement.
- Work outside the agreed scope is quoted and billed separately, with your approval before we start.
- Response targets apply during stated business hours unless your contract provides otherwise.
9. Your responsibilities
- Give us accurate information, and timely access to sites, systems and people where the work requires it.
- Maintain your own backups. Where we operate backups for you, that is defined in your contract.
- Keep credentials we hand over secure, and tell us promptly if you believe they are compromised.
- Hold valid licences for third-party software you ask us to install.
- Nominate a point of contact authorised to approve work and expenditure.
10. Confidentiality
Each party will keep the other's confidential information private and use it only to perform the engagement. This survives the end of our relationship. It does not apply to information that is public through no fault of the receiving party, was already lawfully held, or must be disclosed by law.
Credentials, network diagrams, asset registers and documentation we produce for you belong to you and are handed over on request.
11. Limitation of liability
- Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
- Subject to that, our total liability arising from any engagement is limited to the amount you paid us for that engagement in the twelve months preceding the claim.
- We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of anticipated savings, or loss of or corruption of data.
- We are not liable for failures of third-party services, including registries, hosting providers, payment gateways and internet connectivity.
- We are not liable for delay or failure caused by events beyond our reasonable control.
12. Termination
- Either party may terminate an ongoing engagement on 30 days' written notice, unless the contract states otherwise.
- Either party may terminate immediately if the other commits a material breach and fails to remedy it within 15 days of written notice.
- On termination, you pay for work completed and costs committed up to that date.
- We will hand over your data, credentials and documentation on request, subject to settlement of outstanding invoices.
13. Governing law and jurisdiction
These terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute, subject to the parties first attempting to resolve it in good faith through discussion.
14. Changes to these terms
We may update these terms. The version published on this page at the time you place an order is the version that applies to it. Material changes affecting ongoing contracts will be notified to you directly.
